1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the VioHi website (www.viohi.com) and the VioHi store management services (collectively, the "Services"). By registering for, accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, please do not use the Services.
2. The Services
VioHi provides store management tools for Amazon selling partners, including functions for orders, listings, inventory, data analysis and related operational support, provided through the Amazon Selling Partner API ("SP-API"). The scope of the Services depends on the plan you subscribe to and the authorizations you grant. We may improve, modify or update the Services from time to time; where a change materially affects your use of the Services, we will notify you in advance where reasonably practicable.
3. Accounts
3.1 You must provide accurate and complete information when registering an account and keep such information up to date. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
3.2 If you register or use the Services on behalf of a company or other organization, you represent and warrant that you have the authority to bind that entity to these Terms.
4. Amazon Authorization and Seller Data
4.1 To provide the Services, you authorize VioHi to access data related to your Amazon store through the SP-API within the scope of the roles or permissions you approve. You may grant, adjust or withdraw this authorization at any time through your Amazon account or by contacting us. After you withdraw your authorization, VioHi will stop accessing the relevant data through the SP-API and will delete or anonymize the data in accordance with our Privacy Policy.
4.2 You are responsible for the lawfulness of the data you provide or authorize VioHi to access, and for your compliance with the agreements applicable to you and Amazon. VioHi processes such data in accordance with our Privacy Policy and Amazon's data protection requirements, and will not sell or rent such data to any third party.
5. Acceptable Use
When using the Services, you agree that you will not:
(1) violate any applicable laws or regulations, or the agreements applicable to your Amazon account;
(2) use the Services for any unlawful, infringing, fraudulent or harmful purpose;
(3) collect or obtain data through any means not authorized by Amazon or by the relevant data owner;
(4) interfere with or disrupt the integrity or performance of the Services, or attempt to gain unauthorized access to any systems or data;
(5) resell, sublicense or provide the Services to any third party without our prior written consent;
(6) reverse engineer the Services, except as permitted by applicable law.
6. Data Protection
We collect and process personal information in accordance with our Privacy Policy, which forms part of these Terms. We apply reasonable technical and organizational measures to protect data, and will notify you of security incidents as required by applicable laws and our agreements with Amazon.
7. Fees
Paid plans and points packages are described on the pricing page of the website. Prices are shown in US dollars and exclude applicable taxes unless stated otherwise. Fee payment and refund arrangements are as described on the pricing page or as otherwise agreed between you and VioHi. We may adjust pricing for renewal periods with prior notice; any price change will not apply retroactively to fees already paid.
8. Intellectual Property
VioHi retains all rights, title and interest in the Services and the related software, content, trademarks and materials. You retain all rights in the data you provide to or authorize VioHi to access. If you submit suggestions or feedback to us, you grant us a non-exclusive, royalty-free license to use them to improve the Services.
9. Disclaimers and Limitation of Liability
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. The Services depend on third-party platforms, including Amazon; VioHi does not guarantee the continued availability of the SP-API or any specific interface, and is not liable for unavailability or losses caused by third-party platforms, network failures or force majeure events. To the maximum extent permitted by applicable law, the aggregate liability of VioHi arising out of or relating to the Services shall not exceed the fees you actually paid to VioHi for the Services in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
10. Suspension and Termination
You may stop using the Services and cancel your account at any time. We may suspend or terminate the Services, in whole or in part, if you materially breach these Terms, or where reasonably necessary to comply with applicable laws or the requirements of Amazon. Upon termination, the authorization granted under Section 4 ends, and we will handle your data in accordance with our Privacy Policy.
11. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new effective date; for material changes, we will provide more prominent notice where reasonably practicable. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the updated Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the People's Republic of China, without regard to its conflict of law rules. The parties shall first attempt to resolve any dispute through friendly consultation. Where consultation fails, either party may submit the dispute to a people's court with jurisdiction in the place where VioHi is domiciled.
